Investing.com -- Bending Spoons S.p.A. announced Thursday that it has entered into a definitive agreement to acquire Miro at an enterprise value of $1.355 billion. The deal values Miro's equity at approximately $1.79 billion when combined with the company's net cash.

The all-cash transaction includes an agreement from certain Miro shareholders to invest $295 million of their proceeds into newly issued Bending Spoons equity. The acquisition remains subject to customary closing conditions and regulatory approvals.

Luca Ferrari, CEO and co-founder of Bending Spoons, said the company plans to invest substantially in performance, reliability, and functionality after closing. Miro has grown to around $600 million in annual recurring revenue, with nearly 90% coming from business and enterprise customers. More than 250,000 organizations have integrated the product into their workflows.

Andrey Khusid, CEO and co-founder of Miro, described the platform as an AI-first workspace that teams use for their most important work. Nearly 4 million paying users depend on Miro across every industry and region, including more than 750 customers with over $100,000 in annual recurring revenue. Khusid founded Miro fifteen years ago.

The boards of directors of both Bending Spoons and Miro unanimously approved the agreement. The transaction is expected to close in the fourth quarter of 2026. Both companies will continue to operate independently until the transaction closes.
